INTRODUCTION
1. 1 These Terms and Conditions govern the relationship between Hartco Consultancy (company registration number 16058985) and its clients. They apply to all proposals, quotations, offers, orders, and contracts (both written and verbal) related to the provision of consulting services. Please read these Terms carefully and verify that all details in any document and these Terms are accurate. For any discrepancies, please contact Hartco Consultancy and request written confirmation of any agreed changes to avoid misunderstandings.
1.2 Definitions:
"Client" refers to the individual or entity receiving services from Hartco Consultancy.
"Hartco Consultancy" refers to the service provider registered in the UK under company number 16058985 with the registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 8JQ.
"Services" means the consulting services detailed in the written invoice issued by Hartco Consultancy.
"Terms and Conditions" refers to this document.
1.3 These Terms constitute the entire agreement between the Client and Hartco Consultancy and replace all prior agreements or understandings, whether written or oral.
1.4 Any amendments to these Terms must be in writing and signed by both parties to be valid.
1.5 If any provision of these Terms is found invalid, the remaining provisions will remain enforceable.
1.6 These Terms are governed by the laws of the UK, and any disputes will be resolved in the exclusive jurisdiction of its courts.
1.7 The Terms may be executed in counterparts, each considered an original.
1.8 These Terms do not affect any statutory consumer rights.
1.9 Failure to enforce any provision does not waive the right to enforce it later.
1.10 No third party has rights under these Terms pursuant to the Contracts (Rights of Third Parties) Act 1999.
ORDERS
2.1 Acceptance of a proposal or quotation from Hartco Consultancy constitutes an offer to purchase services under these Terms.
2.2 A contract is only formed when Hartco Consultancy issues a written confirmation or invoice.
2.3 Any additional services must be agreed upon in writing and are subject to these Terms.
PAYMENT TERMS
3.1 Fees are as stated in the invoice issued by Hartco Consultancy.
3.2 Prices exclude applicable taxes, which will be invoiced to and payable by the Client.
3.3 Payments must be made in GBP, within 10 working days of the invoice date unless otherwise agreed.
3.4 Ownership of deliverables remains with Hartco Consultancy until full payment is received.
3.5 Late payments incur interest at 3% per annum over the base rate of Barclays.SERVICE DELIVERY
4.1 Services to be provided will be detailed in the invoice.
4.2 Hartco Consultancy will make reasonable efforts to meet delivery timelines but is not liable for delays.
4.3 The Client must notify Hartco Consultancy of any issues within 14 days of service delivery.
CANCELLATIONS AND RETURNS
5.1 Clients may cancel services within 14 days of contract formation for a full refund, unless services have already commenced.
5.2 Refunds will be processed within 30 days of cancellation notice.
5.3 Beyond the 14-day period, cancellations may be subject to fees.
LIMITATION OF LIABILITY
6.1 Hartco Consultancy is only liable for foreseeable losses arising from breach of these Terms or negligence.
6.2 Hartco Consultancy is not liable for indirect, incidental, or consequential losses.
6.3 Total liability is limited to the amount paid for the services in question.
FORCE MAJEURE
7.1 Hartco Consultancy is not liable for delays or failures due to events beyond its control, including but not limited to natural disasters, strikes, or regulatory actions.
DISPUTE RESOLUTION
8.1 Disputes will first be resolved through mediation. If unresolved, they will proceed to arbitration in the UK.INDEMNITY
9.1 The Client agrees to indemnify Hartco Consultancy against any losses or claims arising from the Client's breach of these Terms.
COMMUNICATION
10.1 Notices must be in writing and delivered via registered post or email.
10.2 Notices are deemed received two days after posting or on the day of email transmission if before 4:00 pm.
DATA PROTECTION
11.1 Hartco Consultancy handles personal data in accordance with the Data Protection Act 2018 and GDPR.
11.2 Personal data will be used solely for service delivery and administration.
COPYRIGHT
12.1 All intellectual property created by Hartco Consultancy remains its property unless otherwise agreed in writing.
GENERAL
13.1 Each provision of these Terms is independent; if one is unenforceable, others remain valid.
13.2 No delay in enforcing rights waives those rights.
13.3 No third party can enforce these Terms.
By engaging Hartco Consultancy, the Client agrees to these Terms and Conditions in full.
